Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Phero text-based AI dating coaching service and our website at pherocoach.com (collectively, the “Service”) provided by Stylist on Standby, Inc., d/b/a Phero (“Phero,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement and that you have the authority to agree to these Terms.

2. Service Description

Phero is an AI dating coach you reach by text message. The Service:

• Lets you text Phero for support with dating, including your profile, messages, date planning, and reflecting on how things went.
• Provides an AI assistant that generates suggestions, replies, and advice based on what you choose to share.
• May be accessed through your mobile messaging app and our website at pherocoach.com.

Phero is not a dating app, a matchmaking service, or a licensed counseling, therapy, or medical service. We may modify, suspend, or discontinue any part of the Service at any time without liability, subject to applicable law.

3. Your Account and Phone Number

3.1 Signing Up

You use the Service primarily through text messaging at the mobile number you provide. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Your Number

You are responsible for the phone number and messaging account you use to reach the Service and for all activity that occurs through them. Notify us promptly if you lose control of your number or believe it is being used without your authorization.

3.3 Messaging Consent

By texting us or signing up, you consent to receive recurring text messages from Phero, as described in our Privacy Policy. Message and data rates may apply. You can opt out at any time by replying STOP.

3.4 Deletion

You may request deletion of your account and data at any time by texting us or by contacting us at hello@pherocoach.com. Upon deletion, your content and associated data will be removed in accordance with our Privacy Policy.

4. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

• Use the Service in any way that violates applicable law or the rights of others.
• Harass, threaten, or abuse Phero staff or any other person through the Service.
• Send or transmit content that is illegal, obscene, defamatory, hateful, infringing, or otherwise objectionable.
• Use the Service to distribute spam or unsolicited communications.
• Attempt to impersonate any person or entity.
• Interfere with or disrupt the Service or its security.
• Attempt to reverse-engineer, manipulate, or abuse the AI assistant or any automated features.
• Use the Service to solicit, promote, or facilitate escort services, sexual services, or any other adult services.
• Use the Service for any commercial purpose, including promoting third-party businesses or services, without our written consent.

We may investigate and take appropriate action (including suspension or termination) for any violation of these Terms.

5. AI-Powered Features

5.1 Nature of AI Advice

Phero provides suggestions, recommendations, and advice for informational purposes only. AI-generated content — including message suggestions, date ideas, and dating advice — may be inaccurate, incomplete, or unsuitable for your specific circumstances. You are solely responsible for your decisions and actions based on AI-generated content.

5.2 No Professional Advice

Phero is a coaching service, not a substitute for professional care. AI-generated content does not constitute professional advice of any kind (including financial, legal, medical, or psychological advice or therapy). If you are in crisis or believe you may be experiencing a medical or mental health emergency, contact a qualified professional or your local emergency services.

5.3 Third-Party AI Processing

AI features are powered by third-party services (including Anthropic). Your messages and uploaded content may be processed by these providers to generate responses. See our Privacy Policy for details on data handling.

6. Subscriptions, Payments, and Fees

6.1 Subscription

Phero is offered as a paid subscription (currently $9.99 per month). By subscribing, you authorize recurring charges to your selected payment method through our third-party payment processor, Stripe. The current price and any applicable taxes are disclosed before you subscribe.

6.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period until you cancel. You authorize us to charge your payment method the then-current fee for each renewal period.

6.3 Canceling

You may cancel at any time by replying CANCEL to any Phero text or by contacting us at hello@pherocoach.com. Cancellation takes effect at the end of your current billing period, and you retain access until then. We do not provide prorated refunds for unused portions of a billing period, except where required by law.

6.4 Fees and Pricing Changes

We may change our pricing and fees at any time. Changes will not apply to the billing period you are already in, and we will provide notice of any price change before it takes effect.

7. Intellectual Property

7.1 Our Rights

The Service, including all content, software, designs, trademarks, logos, and other materials provided by us, is owned by or licensed to Phero and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use.

7.2 Your Content

“User Content” means any content you send, submit, or otherwise make available through the Service. By providing User Content, you:

• Represent and warrant that you own or have the necessary rights to share that content and that it does not infringe any third-party rights.
• Grant Phero a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, display, and perform your User Content in connection with operating and improving the Service.

7.3 AI-Generated Content

Content generated by our AI assistant is provided for your personal use. We do not claim ownership of AI-generated content provided to you, but we retain the right to use aggregated, anonymized usage data to improve the Service.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers

The Service and all content, advice, or information provided through it (including AI features) are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI-generated content will be accurate or suitable for any particular purpose.

10. Limitation of Liability

To the fullest extent permitted by law:

• Phero and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill.
• Our total liability to you for all claims arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to us during the 3 months prior to the event giving rise to the liability, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Phero and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time and for any reason, including if we believe you have violated these Terms. You may stop using the Service and request deletion at any time. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms and any disputes arising out of or relating to them or the Service are governed by the laws of the State of California, United States, without regard to its conflict of laws principles.

14. Dispute Resolution

You and Phero agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally within 30 days of written notice will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will be conducted in San Francisco County, California, or at another mutually agreed location. For claims under $10,000, arbitration will be conducted on the basis of written submissions unless either party requests an in-person hearing.

Each party will bear its own arbitration costs and attorneys' fees, except that Phero will pay AAA filing and administration fees for claims under $10,000 if you are unable to afford them.

CLASS ACTION WAIVER: You and Phero agree that each may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

You may opt out of arbitration by sending written notice to hello@pherocoach.com within 30 days after you first accept these Terms.

15. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by updating the “Last Updated” date and, where appropriate, by text or on our website. Your continued use of the Service after the updated Terms become effective means you accept the changes.
